This thesis attempts to profile and assess the influence of Corporate Governance on the company´s stakeholders, specifically to shareholders and creditors. The aim is to identify the interest conflicts between shareholders and creditors and the rationale behind these in the context of Corporate Governance. Stakeholders are interesting because companies become more aware of the fact that the company cannot be separated from the rest of the world, hence stakeholder research is important. The concept of Corporate Governance is very wide and the whole process can be approached from a number of different perspectives and directions, in which many different actors and the interaction between these actors must be taken into account. The theoretical framework of the study focuses firstly on the Corporate Governance phenomenon and its relationship with the stakeholders. Considering how Corporate Governance interacts with the stakeholders is important for two reasons. First it gives a set of ideas to analyze Corporate Governance in different ways. One needs to have a grip how problems can be simplified or to extract the essential elements in different phenomena. Secondly, analyzing Corporate Governance from past to future form a platform to understand Corporate Governance and its reasoning’s and how it has evolved and developed and what might or ought to be its guidelines to the company.
