    The study compares and contrasts loyalty principles that affect copyright and trademark licensing agreements in Finland and the United States of America, respectively. In doing so, it establishes how and to what extent the principles affect said agreements. The study also provides a stance on which system better ensures the parties' rights. The thesis covers this viewpoint as principles of loyalty have as one of their objectives to ensure that the parties' rights are not frustrated. First, the study defines the principles governing loyalty within the framework of general contract law, applying these findings to the more specific framework of copyright and trademark licensing agreements. The study examines and evaluates these principles' effects on the agreements while simultaneously comparing the two systems, establishing their main similarities and differences. The study also investigates franchising agreements in more detail due to their high relationality and abundance in business. After this, the study evaluates these findings and utilizes them to extract an answer to the question of which system better ensures the rights of the parties.
